These Terms of Service ("Terms") govern your use of the website, services, and products provided by Ixidronel Electronics LP ("Company," "we," "us," or "our"), a registered entity under Quebec law with VAT number 739501864 RT 0001, located at 1000 Rue de la Gauchetière O, Montréal, QC H3B 4W5, Canada.
By accessing and using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services. Ixidronel Electronics LP provides precision semiconductor design services, including but not limited to circuit design, hardware optimization, prototyping, and technical consulting. Our services are intended for business and professional use.
We strive to deliver high-quality services; however, we do not guarantee that all services will be error-free or uninterrupted. The quality and nature of services may vary based on project specifications and technical requirements agreed upon in separate project agreements.
You represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, and that you have the legal capacity to enter into binding agreements. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We reserve the right to refuse or terminate service to any user who does not meet these eligibility requirements or who violates any provision of these Terms.
All content, designs, code, documentation, and materials provided by Ixidronel Electronics LP, including but not limited to website content, technical documentation, and service deliverables, are the intellectual property of the Company unless otherwise specified in a project agreement.
You grant us a license to use your submissions, feedback, and any materials you provide for the purpose of delivering our services and improving our offerings. This license is non-exclusive, worldwide, and royalty-free.
Custom designs and deliverables created under a paid project agreement become the property of the client upon full payment, unless otherwise stated in the project contract. Pre-existing tools, methodologies, and frameworks remain the property of Ixidronel Electronics LP.
Both parties agree to maintain the confidentiality of proprietary information shared during the course of business, including technical specifications, design documents, and business details, for a period of five (5) years from the date of disclosure or as otherwise specified in a written agreement.
Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party without confidentiality obligations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IXIDRONEL ELECTRONICS LP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU.
Our services are provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, timeliness, or reliability of our services or content. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will meet your specific requirements, be error-free, or uninterrupted. Your use of our services is at your own risk.
You agree not to use our services for any unlawful purpose or in violation of any applicable laws or regulations. Specifically, you agree not to:
Fees for services are as specified in project proposals or service agreements. Payment is due within thirty (30) days of invoice unless otherwise negotiated in writing. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
We reserve the right to suspend services and pursue collection action if payment is not received within sixty (60) days of the invoice date.
Our collection and processing of personal information is governed by our Privacy Policy, available at info@ixidronel.bond or on our website. By using our services, you consent to our collection and use of personal information as outlined in the Privacy Policy.
We comply with applicable privacy laws, including Quebec Law 25 (Bill 64) and other relevant data protection regulations. We implement appropriate technical and organizational measures to protect your data from unauthorized access, alteration, disclosure, or destruction.
You agree to indemnify, defend, and hold harmless Ixidronel Electronics LP and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate a project or service agreement with written notice. Upon termination, you remain responsible for all fees incurred up to the termination date. We may suspend or terminate your access to our services immediately if you violate these Terms.
Upon termination, provisions relating to confidentiality, intellectual property, indemnification, and liability shall survive and remain in effect.
Our website may contain links to third-party websites and services. We are not responsible for the content, accuracy, or practices of these external sites. Your use of third-party services is governed by their respective terms and privacy policies. We do not endorse or warrant third-party services.
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
Any disputes arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Montréal, Quebec. Both parties consent to the personal jurisdiction and venue of these courts.
Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.
These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and Ixidronel Electronics LP regarding your use of our services. These Terms supersede all prior negotiations, understandings, and agreements, whether written or oral.
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or prominently displayed on our website with an updated "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the revised Terms.
